Terms of Service

1. Agreement

By accessing or using the Admin Substitute platform (“Service”) operated by Admin Substitute ABN 55 618 712 648 (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter a binding agreement. By registering, you represent that you are authorised to act on behalf of the business you are signing up for.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorised use.

4. Subscription Plans & Payment

  • We offer tiered subscription plans (Lite, Starter, Growth, Pro) billed monthly or annually in Australian dollars (AUD).
  • Payments are processed securely via Stripe. By subscribing, you authorise recurring charges to your payment method.
  • Prices may change with 30 days' written notice. Existing subscribers are locked in at their current price until their next renewal.
  • All prices are exclusive of GST unless stated otherwise.

5. Usage Limits

Each plan includes specific monthly allowances for SMS, emails, API calls, storage, and users. If you exceed your plan limits, features may be temporarily restricted until the next billing cycle or until you upgrade to a higher plan.

6. Cancellation & Refunds

  • No lock-in contracts. You can cancel your subscription at any time from your account settings or by contacting us.
  • Cancellations take effect at the end of the current billing period. You retain access until that date.
  • We offer a 7-day money-back guarantee on your first subscription payment. If you are not satisfied within 7 days of your initial purchase, contact us for a full refund.
  • After the 7-day period, no refunds are issued for partial billing periods, unused features, or plan downgrades.
  • Annual subscriptions are non-refundable after 7 days, except as required by Australian Consumer Law.

7. Your Data

  • You retain ownership of all data you upload to the Service (“Your Data”).
  • We store Your Data securely in Australian-hosted infrastructure and will not sell, share, or use it for any purpose other than providing the Service.
  • Upon cancellation, Your Data is retained for 30 days (the grace period) during which you can export it. After that, it may be permanently deleted.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Send spam, unsolicited bulk messages, or misleading communications through the platform.
  • Attempt to reverse-engineer, copy, or resell the Service.
  • Interfere with or disrupt the Service or its infrastructure.
  • Share login credentials with anyone outside your authorised team.

9. Intellectual Property

The Service, including its design, code, logos, and documentation, is owned by Admin Substitute and protected by Australian and international intellectual property laws. Nothing in these Terms grants you rights to our intellectual property beyond the licence to use the Service during your active subscription.

10. Service Availability & Warranties

  • We aim for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where practicable.
  • The Service is provided “as is” and “as available” without warranties of any kind, except as required by Australian Consumer Law.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claims arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for any indirect, incidental, special, or consequential damages. Nothing in these Terms excludes or limits liability that cannot be excluded under Australian Consumer Law.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, liabilities, damages, or expenses arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party rights.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes will be resolved in the courts of Queensland, subject to any rights you may have under Australian Consumer Law.
